＜要旨＞
経営環境の変化の中で，経営の舵取りであるガバナンスに求められることも変化していく．社会や個人の価値観の変化・多様化を意識しつつ，新しいアイデアを生み，共感を形成することで価値にしていくための構想・デザインの力が問われる時代になってきた．そうした時代には，こうした価値デザインと，それを円滑に実践するガバナンスが企業に求められる．2018年に内閣府が公表した経営デザインシートは，企業の価値デザインの全体像を一覧し，将来の価値創造ストーリーとそれに向けた戦略を明確化するものであり，その活用がガバナンスの向上にも統合報告の質の向上にも役に立つ．また，経営デザインシートには，その企業の差別化の要因となる重要な無形資産をあぶり出し，それを如何に活用して価値を生み出すかを明確にする機能もあり，無形資産を重視する方向で改訂されたコーポレートガバナンス・コードの下でさらなる活用が期待される．
<Abstract>
What is required for governance or steering the corporate management may shift in changing business environment.　The key issue for companies is how to design a new value by developing compassion to a newly created idea, taking into account the changing and diversifying sense of value in society or individuals.　This capability of designing values is needed for companies together with appropriate governance to realize them.‘Business management Design Sheets (KDS)’ published by the cabinet Office in Japan is used for expressing the company’s total picture of designing values and making clear the value creation story in the future together with
strategies for it.　Therefore, KDS is useful for improving the quality of corporate governance as well as of integrated　reporting.　Having functions to identify key intangibles which differentiate the company from others and point out how　they are used for creating values, KDS is expected to be utilized under the revised Japanese Corporate Governance　Code which puts focus on intangibles.
